TERMS OF USE
Crosshire Terms of Use
Version 1.0 · Effective October 26, 2026
Crosshire is operated by We Are Stepchild LLC, a California limited liability company at 5845 Avenida Encinas, Suite 130, Carlsbad, CA 92008 ("Crosshire," "we," "us"). Questions: rentals@wearestepchild.com.
Plain-English summary (not part of the Terms). Crosshire connects rental businesses. We are not a party to your deals. When you award, win or claim a request, the terms recorded on Crosshire are your agreement with the other member. Changing them takes both of you, in writing. Treat Watchlist posts like sworn statements: first-hand facts only.
1. Agreement and acceptance
1.1 These Terms of Use ("Terms") are a binding contract between Crosshire and each Member. By checking the box at signup, or by using Crosshire, you accept these Terms and the Privacy Policy.
1.2 If you accept for a business, you confirm you have authority to bind it. "You" then means both you and that business.
1.3 You agree that clicking, checking a box, or confirming in Crosshire is your electronic signature. It has the same effect as a handwritten signature under the federal E-SIGN Act and the California Uniform Electronic Transactions Act. You consent to receive these Terms, records and notices electronically.
2. Definitions
- Member: a rental house, production-services company or owner-operator admitted to Crosshire. Member User: a person who logs in for a Member, including owners and staff.
- Request: a post asking for gear or help, either a Sub-Rental (a Member needs gear) or a Job Handoff (a Member passes a client booking to another Member).
- Bid: a Member's offer to fill a Sub-Rental. Award: the requester's acceptance of a Bid. Claim: a Member's acceptance of a Job Handoff.
- Deal: the agreement formed between two Members by an Award or Claim, as described in Section 6.
- Deal Terms: the terms recorded on Crosshire for a Deal, as listed in Section 6.2.
- Owner: the Member supplying gear in a Sub-Rental. Renter: the Member receiving it.
- Member Content: anything a Member User posts, uploads or sends through Crosshire, including Requests, Bids, messages, comments, Watchlist entries, attachments and listings.
3. Eligibility and accounts
3.1 Crosshire is invite-only and for businesses only. Members must operate a rental, production or related business. Member Users must be at least 18. Crosshire is not for personal, family or household use.
3.2 We may admit, decline or remove any Member at our discretion. An invitation is not an endorsement of that Member.
3.3 You must give accurate business, contact and gear information and keep it current.
3.4 A Member is responsible for everything its Member Users do on Crosshire. That includes Bids, Awards, Claims and confirmations. Remove a Member User's access promptly when they leave or should no longer act for you.
3.5 Keep login links, passwords and API tokens secure. Tell us right away at rentals@wearestepchild.com if you suspect unauthorized access.
4. What Crosshire is, and isn't
4.1 Crosshire is a notification network and record-keeping tool. It helps Members find each other and record what they agree to.
4.2 Crosshire is not a party to any Deal. We are not a rental company, broker, agent, insurer, guarantor, escrow agent or payment processor. We never own, hold, inspect or deliver gear. We don't collect or guarantee payment.
4.3 We don't verify any Member's identity, licenses, insurance, finances, gear, condition or ability to perform. Member profiles, gear lists and Watchlist posts are Member Content, not statements by Crosshire.
4.4 You alone decide whether to deal with another Member and on what terms. Do your own diligence, as you would with any new customer or vendor.
5. Requests, Bids and Claims
5.1 A Request must describe a real, current need. It must accurately state the gear, dates, location and anything else a reasonable Member would need to respond.
5.2 A Bid is a firm offer on the terms it states. It stays open until you withdraw it, the requester Awards another Bid, or the Request is cancelled or expires.
5.3 Only post a Request, Bid or Claim you intend and are able to honor. Repeatedly cancelling, withdrawing or not performing is grounds for suspension.
5.4 Notifications, matching and SOS alerts are a convenience. We don't promise any Member will see or answer a Request in time.
6. Deals and Deal Terms
6.1 When a Deal forms. A binding Deal forms directly between two Members when (a) a requester Awards a Bid, or (b) a Member Claims a Job Handoff, and each Member has confirmed under Section 6.3. Crosshire is not a party to the Deal.
6.2 What the Deal includes. The Deal Terms are, in this order of priority:
- the Deal Terms note recorded at Award or Claim, if any;
- the details recorded in the Request and the winning Bid: gear, dates, location, price, price unit and discount;
- any rental agreement or document that the Deal Terms note names, such as the Owner's standard rental contract;
- the Crosshire Standard Sub-Rental Terms in Section 7, for anything not covered above.
6.3 Per-Deal confirmation. Before you post, Bid on, Award or Claim, Crosshire will ask you to tick a confirmation statement. Confirming is your electronic signature on that Deal. Each confirmation is a promise made directly to the other Member, not only to Crosshire. The Deal Terms are then the complete agreement between the two Members for that Deal. They replace earlier discussions, quotes or messages about it, unless the Deal Terms note says otherwise.
6.4 Honoring the Deal Terms. Each Member agrees to perform the Deal Terms as recorded. Neither Member may change them on its own.
6.5 Changing a Deal. The Members may change a Deal at any time, but only by mutual agreement in writing. Either of these counts as writing:
- (a) a change recorded on Crosshire and accepted by both Members, or
- (b) an email or text message from each Member that clearly states and accepts the specific change.
A change one Member proposes and the other doesn't clearly accept has no effect. Silence, continued performance, or a changed invoice is not acceptance. We strongly encourage recording every change on Crosshire, so both Members share one record.
6.6 Deal records. Crosshire keeps a dated record of each Deal, including the Deal Terms, confirmations, Bids, messages and timestamps. Either Member may ask us for a copy for a dispute, insurance claim or collection. Each Member agrees not to challenge that record merely because it is electronic, and agrees it is a record made in the ordinary course of business. We don't guarantee records are error-free, complete or kept forever.
6.7 We don't enforce Deals. Crosshire won't decide disputes, collect money or compel performance. Members resolve Deal disputes between themselves (Section 15). We may suspend a Member who doesn't honor Deal Terms.
7. Crosshire Standard Sub-Rental Terms
These defaults apply to every Sub-Rental Deal, except where the Deal Terms note or a named rental agreement says otherwise.
7.1 Price. The price is the winning Bid's price and price unit. If no price is recorded, it's the Owner's standard published rate minus the Owner's Crosshire sub-rental discount.
7.2 Member discount. Each Member agrees that its Crosshire sub-rental discount off its standard rates will be at least 20%. That applies unless a Bid states a lower price.
7.3 Rental period. The period runs from the recorded start date to the recorded end date. A rental day is 24 hours from pickup. Late returns are billed at the daily rate for each day or part day, unless the Owner agrees otherwise in writing.
7.4 Pickup, return and condition. The Renter picks up and returns gear at the Owner's location, during the Owner's business hours, unless the Deal Terms say otherwise. Both Members should check gear out and in together and note any existing damage. Gear goes back clean, complete and in the same condition, except for ordinary wear.
7.5 Risk of loss. The Renter is responsible for the gear from pickup until the Owner gets it back. That covers loss, theft and damage beyond ordinary wear. The Renter pays the lesser of repair cost or replacement cost with comparable new gear. It also pays loss of use at the daily rate while the gear is out of service, up to 30 days. If the Bid states a replacement value, the Owner can't recover more than that for replacement.
7.6 Insurance. The Renter will keep rented-equipment (inland marine) insurance covering the gear's full replacement value. It will name the Owner as loss payee and give a certificate of insurance before pickup if asked. The Owner may refuse to release gear until it gets one.
7.7 Re-renting to clients. The Renter may re-rent or supply the gear to its own client for the Deal's purpose. The Renter stays fully responsible to the Owner for that gear and that client.
7.8 Client relationships. The Owner deals only with the Renter, not the Renter's client, unless the Renter agrees. During the Deal and for 12 months after it, the Owner won't use client information it learned through the Deal to solicit that client.
7.9 Payment. The Owner invoices the Renter after return. Payment is due within 30 days of the invoice. Unpaid amounts accrue interest at 1.5% per month or the maximum the law allows, if less.
7.10 Cancellation. The Renter may cancel free of charge 48 hours or more before pickup. After that, the Renter owes one day's rental. If the Owner cancels, it must tell the Renter immediately and help find replacement gear on the network.
7.11 Owner's promises. The Owner confirms it owns the gear or may rent it, and that it is safe and in good working order. It also confirms the gear matches the Bid.
8. Job Handoffs
8.1 By posting a Job Handoff, the requester confirms that it may share its client's contact details with Crosshire and with the Member who Claims it. Each Member will use those details only to perform the handoff and the booking.
8.2 The requester reviews, edits and sends the client handoff notice. The claiming Member won't contact the client before the notice is sent, unless the requester agrees.
8.3 After the handoff, the claiming Member deals directly with the client under its own rental agreement. The claiming Member is solely responsible for the booking it accepted.
8.4 The claiming Member honors the dates, gear and location in the Job Handoff. It also honors any price quoted to the client, if that price is in the Deal Terms note. No referral fee is owed unless it's in the Deal Terms.
9. Gear listings for sale or trade
9.1 Listings show the lister's contact details to other Members. All negotiation, payment and transfer happen off-platform and directly between Members.
9.2 You may list only gear you own outright, free of liens and undisclosed defects. Describe its condition honestly. Crosshire isn't part of any sale or trade.
10. SOS posts
10.1 Use SOS only for genuine same-day emergencies. Any arrangement that comes out of an SOS thread is a direct deal between the Members involved. If it isn't recorded as a Request and Award, it isn't covered by Section 6.
11. Watchlist
11.1 Purpose. Watchlist lets Members warn each other about real business problems: unreturned or damaged gear, non-payment, fraud, or identity misuse.
11.2 What you may post. Post only facts you know first-hand, that you believe are true and can support. Label opinions as opinions. Post in good faith to protect Members, not to retaliate, compete or pressure someone into paying.
11.3 What you may not post. Don't post:
- personal details beyond name, business and what's needed to identify the issue, such as home addresses or family details;
- government ID numbers, financial account numbers, or health information (redact them from attachments);
- anything about race, religion, sex, sexual orientation, disability, national origin, age or another protected characteristic;
- threats, harassment or calls for anyone to act against the subject outside lawful business decisions.
11.4 Not a consumer report. Watchlist must not be used, in whole or in part, to decide anyone's eligibility for credit, insurance, employment or housing.
11.5 Anonymity. An anonymous note hides your name from other Members, not from Crosshire. We may disclose your identity if the law requires it or to defend a claim about your post.
11.6 Corrections and removal. Shared subject profiles may be corrected by any Member, but only for accuracy. Anyone, including a subject, may ask for a correction or removal at rentals@wearestepchild.com. We may edit, hide or remove any Watchlist content at our discretion. We may also add the subject's response.
11.7 Responsibility. Each poster is solely responsible for its Watchlist content. Crosshire doesn't verify it or adopt it as its own.
12. Member Content and confidentiality
12.1 You keep ownership of your Member Content. You give Crosshire a non-exclusive, royalty-free license to host, copy, display and process it, as needed to run, secure and improve Crosshire.
12.2 You confirm you have the right to post your Member Content and that it doesn't violate law or anyone's rights.
12.3 What Members see on Crosshire is confidential to the network. That includes Requests, Bids, Watchlist entries, other Members' rates and contact details. Use it only for your Crosshire dealings. Don't share, scrape or export it outside the network.
13. Email and text notifications
13.1 Crosshire sends account and Deal emails. Those are part of the service.
13.2 If you opt in to text alerts, you agree to receive automated texts from Crosshire about Requests, Bids, Awards, handoffs and SOS posts at the number you give. Message frequency varies. Message and data rates may apply. Reply STOP to opt out or HELP for help. Consent isn't required to use Crosshire.
14. Rules of conduct
You won't:
- post false, misleading or fake Requests, Bids or listings;
- impersonate anyone or misstate your business, insurance or gear;
- harass, threaten or discriminate against anyone;
- use Crosshire to fix prices, divide customers or territories, or otherwise restrain competition;
- probe, scrape, overload or bypass Crosshire's security or access controls;
- use another Member's information for spam or marketing;
- violate any law, including privacy, consumer protection and export laws.
15. Disputes between Members
15.1 Members resolve Deal and other disputes directly with each other. Crosshire isn't a party, mediator or arbitrator, unless we separately agree in writing to help.
15.2 On request, we'll give both Members involved a copy of the Deal record (Section 6.6).
15.3 You release Crosshire from claims arising from your dealings with other Members (Section 24).
16. Privacy and data
16.1 Our Privacy Policy explains what we collect and how we use it. That includes login records, IP addresses, timestamps and device data, which we keep to secure Crosshire and record confirmations.
16.2 Contact details you receive through Crosshire, including clients' details in Job Handoffs, may be used only for the Deal or handoff they came with. Protect them as carefully as your own customer data.
17. API and AI-assistant access
17.1 If we let you connect API tokens, integrations or AI assistants to your account, everything done through them is done by you. That includes Bids, Awards, Claims and Deal confirmations.
17.2 You're responsible for setting them up correctly. We may rate-limit, change or revoke that access at any time.
18. Crosshire's property and feedback
18.1 Crosshire, its software, design and the compiled network data belong to us. These Terms give you a limited, revocable, non-transferable right to use Crosshire for your business while you're a Member.
18.2 If you send feedback or ideas, we may use them without owing you anything.
19. Fees
19.1 Crosshire is currently free. We'll give at least 30 days' notice before charging any fee. You can close your account before a fee takes effect.
20. Suspension and termination
20.1 You can close your account any time by contacting rentals@wearestepchild.com.
20.2 We may suspend or end any Member's access, with or without notice, if we reasonably believe the Member broke these Terms, didn't honor a Deal, or puts Members or Crosshire at risk. We may also do so if we stop offering Crosshire.
20.3 Ending membership doesn't cancel open Deals. Members must still perform them. Sections 4, 6.4 to 6.7, 7, 8, 11.5 to 11.7, 12, 15, and 18 to 27 survive.
21. Disclaimers
21.1 Crosshire is provided "as is" and "as available." To the fullest extent the law allows, we disclaim all warranties, express or implied. That includes merchantability, fitness for a particular purpose, title and non-infringement.
21.2 We don't promise that Crosshire, notifications or texts will be uninterrupted, timely, secure or error-free. We don't promise that any Member or Member Content is accurate, reliable or lawful.
22. Limitation of liability
22.1 To the fullest extent the law allows, Crosshire won't be liable for indirect, incidental, special, consequential or punitive damages. That includes lost profits, lost bookings, lost gear or loss of use, even if we were warned they were possible.
22.2 Crosshire's total liability for all claims about Crosshire or these Terms is the greater of $100 or the fees you paid us in the 12 months before the claim.
22.3 These limits don't apply to liability that can't be limited by law, including for our fraud, gross negligence, willful injury to person or property, or violation of law (California Civil Code §1668).
23. Indemnity
You'll defend, indemnify and hold harmless Crosshire and its owners, staff and contractors from claims, losses and costs, including reasonable attorneys' fees, arising from:
- your Deals or other dealings with Members, clients or third parties;
- your Member Content, including Watchlist posts;
- your breach of these Terms or the law.
24. Release
Crosshire isn't responsible for any Member's conduct. You release Crosshire from all claims, known or unknown, arising from disputes with other Members or their clients. You waive California Civil Code §1542, which says:
"A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party."
25. Disputes with Crosshire
25.1 Governing law. California law governs these Terms, without regard to conflict-of-law rules.
25.2 Informal first. Before filing a claim against Crosshire, you'll email rentals@wearestepchild.com describing it. We'll try to resolve it within 30 days.
25.3 Arbitration. Any unresolved dispute between you and Crosshire will be decided by binding arbitration. It will be held in San Diego County, California, under the American Arbitration Association's Commercial Arbitration Rules, before one arbitrator. Either side may instead bring an individual claim in small claims court. Either side may also seek a court injunction to protect intellectual property or system security.
25.4 Individual claims only. Claims may be brought only individually, not as a plaintiff or class member in any class, consolidated or representative proceeding. This doesn't waive any right to seek public injunctive relief that California law says can't be waived.
26. Changes to these Terms
26.1 We may update these Terms. We'll give at least 14 days' notice of material changes by email or in the app, except where a change is needed sooner for legal or security reasons.
26.2 You'll be asked to accept the new version before your next Request, Bid, Award or Claim. Changes don't affect Deals already formed; each Deal stays under the Terms version in effect when it formed.
27. General
27.1 These Terms, the Privacy Policy and each Deal's records are the entire agreement between you and Crosshire. Deals between Members are separate agreements between them.
27.2 If any part of these Terms can't be enforced, the rest still applies, and that part is enforced as fully as the law allows.
27.3 Not enforcing a term isn't a waiver of it. You can't assign these Terms without our consent; we may assign them in a merger, sale or reorganization.
27.4 Neither side is liable for delay caused by events beyond its reasonable control.
27.5 Members are independent businesses. Nothing in these Terms creates a partnership, joint venture, agency or employment relationship.
27.6 Notices to us go to rentals@wearestepchild.com. Notices to you go to your account email.
